1.1 These Website Terms of Use (Terms) govern access to and use of the website operated by GLP Technologies (GLP Technologies, we, us, or our), located at https://glptechnologies.com (Website).

1.2 By accessing or using the Website, a visitor (you or visitor) agrees to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website.

1.3 These Terms apply to all visitors to the Website, regardless of location. GLP Technologies is a New Zealand registered software development company, and these Terms are governed by New Zealand law as set out in clause 11.

2.1 The Website is an informational website. It is provided to showcase GLP Technologies' portfolio of work, services, and company information to prospective and existing clients and other interested parties.

2.4 Nothing on the Website constitutes a binding offer to provide services. Any engagement for services offered by GLP Technologies, including iOS application development, website development, UI/UX design, App Store Connect setup and submission support, App Store optimisation guidance, technical consulting, or software maintenance and enhancement, will be governed by a separate written agreement entered into between GLP Technologies and the client.

3.1 All content on the Website, including text, graphics, logos, layout, design, source code, and underlying software, is owned by or licensed to GLP Technologies and is protected by copyright, trade mark, and other intellectual property laws, except where otherwise indicated.

3.2 GLP Technologies retains ownership of its internal frameworks, reusable source code, libraries, templates, design systems, automation, development processes, internal tooling, and methodologies, whether or not displayed on the Website.

3.3 Where portfolio items displayed on the Website relate to work carried out for a client, any logos, trade marks, branding, supplied content, or business information belonging to that client remain the property of the client and are displayed with the client's permission.

3.4 You may view and print pages from the Website for your own personal or internal business reference. You must not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Website for commercial purposes without our prior written consent.

4.1 You must use the Website only for lawful purposes and in a manner consistent with these Terms.

9.2 To the maximum extent permitted by law, GLP Technologies' total aggregate liability to you arising out of or in connection with your access to or use of the Website is limited to NZD 100.

9.3 This clause does not limit or exclude GLP Technologies' liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded under New Zealand law.

10.1 You agree to indemnify and hold harmless GLP Technologies, its officers, employees, and contractors, from and against any claim, loss, liability, damage, or expense, including reasonable legal costs, arising out of or in connection with your breach of these Terms or your misuse of the Website.

11.1 These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of New Zealand.

11.2 This applies regardless of where you are located when accessing the Website. Where mandatory consumer protection laws of your country of residence would otherwise apply and cannot lawfully be excluded, nothing in this clause limits the protection afforded to you under those laws.

12.1 You irrevocably submit to the exclusive jurisdiction of the courts of New Zealand in respect of any dispute or claim arising out of or in connection with these Terms or their subject matter.

13.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision must be severed from these Terms, and the remaining provisions will continue in full force and effect.
